: Consider:
: company A, supplier of B, develops and sell specialized equipment used in company B process. B has the technology for its process. If they share their expertise, they can develope an application for Company A equipment, specific for company B process, obtaining better results. So B contracts A as consultant, pays for engineering work, provides its facilities and process know-how, so an existing equipment from A can be modified as needed. A considers the developed product belongs only to it, and B considers it belongs only to its process know-how. How cand this situation be solved?.

: F Varela

Dear Mr. Varela,

Elaine's Workshop, says close the barn door before the lawyers get rich. Negotiaton may be the solution based on the fact and law.

If agreements were made in advance there might not be this problem. A solution depend on a careful examination of the facts and negotiotions. There may even be more unknows to factor in in terms of inventorship and the validity of national patents.
