Software Copyright

We bought a piece of software off a company that we have had made bespoke. We have been using the software for 2 1 / 2 years and regulary make changes to the software that the developer does.

I am thinking of making some software of my own and in the intrest of not changing the software much i would like to keep if virtually the same, where do i stand with something like this? Can i use the same type of system? I didnt think there would be a problem but my boss seems to think i would be of infringment of Intellectual Property?
