Company Structure for Startup

Hello,

My question concerns startup company structure (S-Corp vs. LLC) in the U.S.

I am currently the sole owner of my own IP, marketing materials, manufacturing design, and supply chain development / trade secrets. To place my first supply chain orders and launch the product, I may need help beyond my own finances and available credit.  If so, I would be seeking funding from one or more high net-worth individuals, each investing $25K to $50K.

Given this situation, which structure (S-Corp or LLC) would be the preferred vehicle, and why?

As George points out, this isn't really the place for that sort of advice but, frankly, IMHO looking online for it is not the way to go  -- whether here or elsewhere.

For advice on business entity form, you really need someone
-- who knows the law related to business organizations for your state;
-- who understands tax ramifications and filing requirements -- not just generally and federally, but also for your state in particular; and 
-- who understands about handling business debt and with whom you can share info about your personal life and data about your investors in confidence.

You won't get that online.

As noted, its not really an IP issue.  You will find tax issues are usually the main driver.

If you know who your potential investors are you could ask them for input.
