UTSA, legal jargon explanation?

I'm looking through the Universal Trade Secrets Act, and I came across a phrase that I do not understand.

What does it mean when it says, "Except to the extent that a material and prejudicial change of position prior to acquiring knowledge or reason to know of misappropriation renders a monetary recovery inequitable...."? (It finishes with "...a complainant is entitled to recover damages for misappropriation" but that's pretty simple to understand.)

Specifically, how can a change of position render monetary recovery inequitable?

WHY?


Because, The Answer (as well as The Question) was intentionally & purposefully designed
to be completely ARBITRARY - depending on who's Passing, & who's Receiving the $$$$$!


Now which one of you Experts wishes to doubt me, and provide this man his clear answer
as such...that his 12 year old daughter might understand?
