website selling question

I designed a website for a company a year ago under a verbal agreement that I would barter the website for $10,000 worth of goods that this company manufactures. I know I was foolish to not insist on a written contract, because the owner of this company never fulfilled his end of the bargain. I developed a 200+ page interactive website and got nothing in return. Since that time the company has filed for bankrupcy. Now a 3rd party (a person who I think is friends with the owner of the company I delt with) who wants to start his own company is inquiring about purchasing the entire website and domain (which I also own). Can I legally sell the website, since it was never paid for, to this guy without getting myself into legal problems? Do I need to get permission from the original company owner before I go ahead with this transaction? If there are any trademark disputes would they be between the person who purchases the website and the company owner, or would I be automatically involved? What can I do to protect myself?
