Definition of "Net Sales" in Royalty Agreement

Where can I find a definition of "Net Sales," for a licensing agreement, that is fair to both the inventor (an individual) of an item, and the large company that will be manufacturing and marketing the item?

For that matter...is there anywhere online I can find a good generic intellectual property license agreement to use as a guideline?
