Where do I go to register a company?

I write software.  I would like to start a company to help protect my private asetts from claims.
 
I guess my first question would be, how far does this protection go?  I'm talking about a single person company (so far) writing software for handheld devices.
 
Second, where do I go?  Secretary of State?  County Courthouse?  Some state office?
