I may be selling a website, inventory and 105 domain names. I am in Michigan. Buyer is a corporation in Indiana.
There will be a downpayment at closing and a prommissory note to pay the balance in semi annual payments until paid in full . Should and when would it be necessary to file U.C.C. papers .I am not sure if the inventory and or the prommissory note would be considered collateral . Are the UCC papers only for secured interest by land ect or is a prommissory note
a secured item?

Hire a lawyer.  Don't try to do this yourself.
