Contract for purchasing a website

Hi,
 
I'm planning on purchasing an entire website - including its existing content (text, graphics, videos, sounds, etc.) and I'm wondering what kind of contract I'd be needing for that?
 
I assume a regular domain name transfer contract won't be enough as I'd like to use their existing content and have full rights to it...?

Ideally, you have a transfer of assets agreement including, among other important terms, warranties and indemnifications regarding intellectual property rights (e.g., that the materials on the website don't infringe anyone's copyrights).  If there's any substantial money changing hands, you should likely have an attorney draft this for you.

Thank you very much for your reply. It would be around $1000-3000 deal.
 
So, I wondering...taking also Warranties and Indemnifications into consideration, would I be on the right track having all of these forms signed:
 
1) Domain Name Transfer Assignment
2) Copyright Assignment Agreement for a Written Work
3) Copyright Assignment Agreement for Artwork
4) Copyright Assignment Agreement for a Musical Work
5) Copyright Assignment Agreement for a Video Work
 
Also, how much you think an attorney would charge approximately to draft one contract that covers all those things.

That's a reasonable outline of the IP issues.  I charge a flat $425 for such contracts, exclusive of negotiations with the seller.
